Axsys Technologies, Inc. warrants each new Stabilized Camera System to be free from defects in material and workmanship within one year from the date of delivery from the Axsys factory.

Axsys warrants repairs and spare, or replacement, parts manufactured by Axsys for ninety days from the date of delivery or through the expiration of the initial one year warranty period, if applicable, whichever is longer.

Buyer shall report any claimed defect in writing to Axsys within thirty days of discovery and in any event within the warranty period.

Axsys, at its sole option, will repair the System or furnish replacement equipment, or parts thereof, at the appropriate Axsys Service Provider.

This warranty does not extend to installation of Systems provided by third parties, and is void if the System has been repaired, altered or modified in any manner by persons other than Axsys or Axsys' designee without Axsys' prior written approval.

No Systems furnished by Axsys shall be deemed to be defective by reason of normal wear and tear, or Buyer's failure to properly store, install, operate or maintain the System in accordance with good industry practices or specific recommendations or instruction of Axsys.

The repair or replacement of the System by Axsys under this Warranty shall constitute Axsys' sole obligation and Buyer's sole and exclusive remedy for all claims of defects. If that remedy is adjudicated to be insufficient, Axsys shall refund Buyer's paid purchase price and have no other liability to Buyer under this limited warranty.

All warranty repairs must be performed at an Axsys Authorized Service Provider using recommended new or refurbished spare parts.

Under this limited warranty, the Buyer is responsible for obtaining Axsys' advance authorization to return the System and for the cost of shipping and any other charges incurred in sending the System to the Authorized Service Provider specified by Axsys.

If Axsys determines that the subject problem with the System is within this warranty coverage, Axsys will pay for the return of the System to the Buyer.

If Axsys determines that the problem with the returned System is not covered by this warranty, Buyer shall reimburse Axsys for time and materials at Axsys' standard commercial rates and Buyer shall pay the cost of returning the System to Buyer.

Seller makes no other warranty of any kind with respect to systems or services. All other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, are hereby disclaimed.
